To register each company limited by guarantee we will require the following information -

Name of company to be registered


Are you happy to use Model Articles as defined by the Companies Act 2006 (not suitable for charities) or do you wish to use your own objects or the Charity Commission Articles (only suitable if you intend to register as a Charity)?

Do you wish to use the word LIMITED in the company name (This is optional for guarantee companies but objects must be supplied). If you intend to be a charity AND/OR intend not to have the word LIMITED in the name please supply your objects which we will insert into the Articles of Association. This is a list of your intentions/objects as a company and must begin with the word ‘to’, for example ‘To form a local under 14s community football team’. This is not required for companies using Model Articles.

For the director(s) please provide the following (If more than 3 an additional charge may be made)


a.       Full name

b.       Home address (this is held on private records at Companies House)

c.       Service address (directors can use a business address on the public record if you do not wish to use your home address)

d.       Date of birth

e.       Nationality

For the company secretary (Secretaries are now optional so not legally required)


a.       Full name

b.       Home address

Guarantee value  – typically this is set to £1 (This is the amount the members would have to pay towards debts if the company was wound up)
For the subscriber members (If more than 3 an additional charge may be made)

Contact phone number for yourself.
Do you wish for us to refer you to HSBC and/or Alliance and Leicester business banking? (we fast track a referral to HSBC who will contact you to open a business bank account)
 

Payment must be made before the companies can be registered. Our all inclusive fee is GBP200 per company including registered address. The companies will generally be formed within 2-3 working hours once the above has been received.
